Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using the FamilyBase application, web platform, or related services (the "Service"), you enter into a legally binding contract with 2674156 ONTARIO INC., operating as FamilyBase ("we," "us," or "our"). If you do not agree to all terms of this agreement, you must not access or use the Service.

2. Description of Service

FamilyBase provides a Software-as-a-Service (SaaS) household coordination engine. The platform enables families and shared households to synchronize chore management, meal planning, grocery lists, calendar events, reward systems, and digital family entertainment ("Fun App"). Features synchronize across authenticated mobile and web clients connected to a specific "Family Hub" via a secure 6-character Invite Code.

3. Account Registration & Family Admin Responsibilities

• Age of Majority Representation: To register a primary account and create a Family Hub, you explicitly represent and warrant that you are at least the age of majority in your jurisdiction of residence (e.g., 18 or 19 years of age in Canada/US).
• Family Admin Authority: The account creator acts as the "Family Admin." Admins hold complete administrative control over the Hub, including approving join requests, granting secondary co-admin status, revoking member access, and managing chore point resets.
• Security Obligations: You are responsible for maintaining the confidentiality of your credentials and Invite Codes. You agree to immediately remove any unauthorized user who gains access to your Family Hub.

4. Minors and COPPA Representation

If you, as a Family Admin, issue an Invite Code to a minor (under the age of 13 in the United States, or under the age of majority in your jurisdiction) and approve their in-app "Join Request," you expressly represent and warrant that you are the parent or legal guardian of that minor. You grant explicit, verifiable consent for their participation in the Service pursuant to our Privacy Policy.

5. Premium Subscriptions & Billing (FamilyBase Pro)

Certain advanced features (e.g., external calendar synchronization, advanced grocery & food waste analytics, automated recurring chores) require an active Pro subscription.

• Billing & Renewal: Subscriptions are billed on a recurring monthly or annual basis via your Apple App Store or Google Play Store account, or secure web payment portal. Subscriptions automatically renew unless canceled at least 24 hours prior to the end of the current billing cycle.
• Household Sharing: A single active Pro subscription purchased by a Family Admin automatically unlocks Pro feature entitlements for all authorized members residing within that specific Family Hub.

6. Acceptable Use Policy (Code of Conduct)

To preserve a safe, family-friendly environment, you agree not to use the Service to:

1. Upload, transmit, or share content that is unlawful, harassing, defamatory, abusive, obscene, or harmful to minors.
2. Post copyrighted text, proprietary recipes, or materials you do not possess legal authorization to distribute.
3. Attempt to reverse-engineer, decompile, breach, or tamper with system security, API endpoints, reCAPTCHA protections, or manipulate point leaderboards/arcade game scores.
4. Publicly distribute Family Hub Invite Codes on public forums or allow unauthorized third parties access to household records.

9. Account Suspension, Termination & Indemnification

Suspension/Termination: We reserve the right to immediately suspend or terminate your access to the Service without prior notice if you violate Section 6 (Acceptable Use), attempt security breaches, or upon direct request by your Family Admin.

Indemnification: You agree to defend, indemnify, and hold harmless 2674156 ONTARIO INC., its officers, directors, employees, and agents from any claims, damages, liabilities, and legal fees resulting from your use of the Service or violation of these Terms.

10. Governing Law, Jurisdiction & Severability

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding shall be instituted exclusively in a court of competent jurisdiction located in Ontario, Canada. If any provision is held invalid, the remaining terms remain in full effect.
